Terms of Service

1. Who we are
LoopQuest ("LoopQuest", the "Service") is operated by Tom Phillips Labs, a trading name of Tom Phillips, a sole trader established in the United Kingdom ("we", "us", "our", the "Operator"). You can contact us at tom@tomphillips.uk.
These Terms of Service (the "Terms") form a binding agreement between you and the Operator. By creating an account, starting a trial, or using the Service you accept these Terms. If you accept on behalf of an organisation, you confirm you have authority to bind it, and "you" means that organisation.
2. The Service
LoopQuest is a human-in-the-loop review platform. It ingests output from your systems via our API and integrations, serves it to human reviewers through gamified review games (including Swiper, Versus, Sorter, Detective and Fixer), and returns verdicts and metadata to you, including by signed webhook to a callback URL you provide.
Supporting features — such as the Decoy Matrix, reviewer trust scoring, weighted consensus, leaderboards, analytics and the compliance evidence pack — are tools to help you operate and evidence human oversight. They do not, by themselves, make you or your organisation compliant with any law, regulation or standard. You remain solely responsible for determining and meeting your own legal and regulatory obligations.
3. Accounts & eligibility
You must provide accurate registration details and keep your credentials and workspace API keys secure. You are responsible for all activity under your account, your workspace, and your API keys. You must be at least 18 years old and not barred from receiving the Service under any applicable law or sanctions regime.
4. Plans, trials & billing
LoopQuest is a paid subscription service offered in tiers (currently Starter, Team and Enterprise). Prices, included seats and monthly review volumes are shown on our pricing page and are stated in pounds sterling (GBP).
Free trial. Paid tiers include a 7-day free trial. A valid payment method is required to start it. Unless you cancel before the trial ends, your subscription begins automatically and the payment method is charged for the plan you selected.
Renewal & cancellation. Subscriptions renew automatically each billing period (monthly or annually) until cancelled. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current period, and you retain access until then.
Payments.Payments are processed by Stripe; by subscribing you also agree to Stripe's terms. We do not store full card details. You authorise us and Stripe to charge your payment method for all fees due.
Taxes. Prices are exclusive of VAT and any other applicable taxes, which will be added where required by law. We will notify you if and when VAT becomes chargeable.
Price changes. We may change prices or plan limits; changes apply from your next renewal and we will give reasonable notice.
Refunds. Except where required by law, fees are non-refundable, including for partial periods and annual plans cancelled mid-term. If you are a consumer, your statutory cancellation and refund rights are not affected.
Usage limits. Each tier includes seat and monthly review-volume limits. We may decline requests, or require an upgrade, once a limit is reached, and may suspend access for non-payment after reasonable notice.
5. Acceptable use
You agree not to:
- break the law or infringe the rights of others;
- submit content you have no right to process, or that is unlawful;
- attempt to disrupt, probe, reverse-engineer or gain unauthorised access to the Service;
- circumvent usage limits, billing, or security controls; or
- use the Service to build a competing product.
We may suspend or limit accounts that put the Service, us, or other users at risk.
6. Your data & responsibilities
You retain ownership of the task content you send to LoopQuest. You are responsible for having a lawful basis to process that content — including any personal or special-category (sensitive) data within it — and for any notices, consents or agreements required from the individuals it concerns.
For task content you submit, you act as the data controller and we act as your processor, processing it only to provide the Service and on your instructions. A data processing agreement is available on request. Our Privacy Policy explains how we handle personal data.
7. Integrations & third-party services
The Service connects to third-party tools (for example n8n, Zapier, Make, Dify, MCP clients and others) at your direction. Your use of those tools is governed by their own terms, and we are not responsible for them. You are responsible for the data you choose to send to or receive from them, including via callback URLs you configure.
8. Intellectual property & feedback
The LoopQuest software, branding, content and design are owned by the Operator. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your paid subscription. You grant us the rights needed to host and process your content solely to operate the Service. If you send us feedback or suggestions, you grant us a perpetual, royalty-free licence to use them without obligation to you.
9. Availability & warranties
The Service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation. Review outcomes depend on your reviewers' judgement, and we do not warrant that any verdict, decoy result, trust score or evidence output is accurate or fit for a particular purpose. Any service levels for the Enterprise tier are as set out in a separate written agreement.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential loss, loss of profit, revenue, data or goodwill. Our total aggregate liability arising out of or in connection with the Service is limited to the fees you paid to us in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including for death or personal injury caused by negligence, or for fraud.
11. Indemnity
You will indemnify the Operator against claims, losses and reasonable costs arising from your content, your use of the Service, or your breach of these Terms or of applicable law.
12. Termination
You may stop using the Service and cancel at any time. We may suspend or terminate access for breach of these Terms or non-payment. On termination, your right to use the Service ends and we will, on request and within a reasonable period, delete or return your content except where retention is required by law (including tax and accounting records).
13. Changes to these Terms
We may update these Terms. Material changes will be notified through the Service or by email. Continued use after changes take effect constitutes acceptance.
14. Governing law & jurisdiction
These Terms and any dispute arising from them are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory rights you have as a consumer in your country of residence.
